Before proceeding, please read these Terms of Use (“Terms”) as they govern your use of our website www.cority.com (the “Site”).

By accessing or using this Site, you acknowledge and agree to be bound by these Terms and confirm you have read and understand our Privacy Policy, which is incorporated by reference, and which explains how we collect, use, and protect your personal data. By using the Site, you also acknowledge and agree to our data collection practices as outlined in the Privacy Policy.

The content of the Site is published by Cority and its affiliates.

1. Your Use of the Site

This Site is only intended to provide you with general information and for marketing purposes and is neither an offer to sell nor an acceptance to purchase any products and/or services.

Any products and/or services exchanged between you, as a customer, reseller, partner or supplier, and Cority, shall be pursuant to a separate and mutually accepted substantive agreement to consummate the commercial relationship (“Commercial Agreement”).

You may browse the Site, download openly accessible resources, request demos, and engage with the content on the Site for lawful purposes only.

• Use the Site in violation of any applicable laws or regulations.

We aim for accuracy, but AI is not infallible—Agents may occasionally present information that is incorrect, outdated, or incomplete. 3. Modification of Terms

Cority reserves the right, in its sole discretion, to modify, alter or otherwise update the Site and these Terms at any time, without prior notice. The updated version of these Terms will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted on this page shall be considered as your acceptance of the updated Terms.

4. Intellectual Property

6. Disclaimers, Warranties and Limitation of Liability

To the fullest extent permitted by law, Cority shall not be liable for any loss or damages (direct, indirect, economic, incidental, special, punitive, exemplary or consequential, including without limitation, loss of revenue, loss of data or loss business) resulting from THE ELECTRONIC TRANSMISSION OF INFORMATION THROUGH THE SITE, OR FROM your use of or inability to use, or any reliance on, the Site, any of its content, tools, or third-party links. This provision is not intended to exclude liability that we may not exclude under applicable law.

8. General Terms

1. Please note that any information, ideas, suggestions, or other communications you submit to us through the Site are not considered confidential. Unless we expressly state otherwise, we reserve the right to reproduce, use, disclose, and distribute such communications without restriction and without any obligation to you.
2. These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of laws principles. By accessing the Site, you hereby irrevocably submit and attorn to the provincial and federal courts located in the City of Toronto, Ontario for any disputes or matters arising from, connected with, or relating to the Site, this agreement or any related matters.
3. The failure of Cority to exercise or enforce any right or remedy in these Terms does not waive that right or remedy.  If any provision of these Terms is found to be invalid or unenforceable, Cority and you agree that the court should endeavor to give effect, to the maximum extent permitted by law, to the parties’ intentions as reflected in the provision, and the other provisions of these Terms will remain in full force and effect. No consent or waiver will be effective unless in writing.
4. You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.
5. These Terms (and all terms and conditions incorporated herein) constitute the entire agreement between you and Cority and supersede any prior agreements between you and Cority on the subject matter.  To the extent of any conflict or inconsistency between the provisions in these Terms and an applicable Commercial Agreement, the Commercial Agreement shall prevail.
